By accessing or using the Automation CoE platform and associated services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and all applicable laws and regulations. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these terms, you must not access or use the Services. Continued use of the platform following any update to these terms constitutes acceptance of the revised terms.
ELIGIBILITY
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. The Services are directed exclusively to business customers and are not intended for personal, household, or consumer use. Access is subject to Tecnoprism’s approval and the execution of an applicable Order Form or Enterprise Agreement.
Automation CoE is an enterprise automation platform developed and operated by Tecnoprism. The platform provides organizations with AI-powered tools for process discovery, documentation, runtime monitoring, and operational assurance. Core capabilities include ARIA (process discovery and documentation agent) and AURA (runtime assurance and predictive operations agent).
PLATFORM COMPONENTS
- ARIA: Converts process discovery videos into automation-ready documentation, process definition documents (PDDs), test cases, feasibility reports, and PII-safe outputs.
- AURA: Provides operational intelligence, dependency monitoring, runtime assurance, predictive alerting, and assisted incident resolution.
- CoE Platform: Unified dashboard, workflow orchestration, integration layer, and reporting suite.
- Professional Services: Optional implementation, configuration, and advisory services delivered by Tecnoprism engineers.
SERVICE AVAILABILITY
Tecnoprism targets 99.5% platform uptime, measured monthly, excluding scheduled maintenance windows communicated at least 48 hours in advance. Uptime commitments are set out in the applicable Service Level Agreement (SLA) attached to your Enterprise Agreement.
You are responsible for all activities conducted under your account and for ensuring that your use of the Services complies with these terms, your internal policies, and all applicable laws, including data protection legislation in your jurisdiction.
ACCEPTABLE USE
You agree not to use the Services to:
- Upload, transmit, or process any content that violates applicable laws or third-party rights.
- Attempt to gain unauthorized access to any system, network, or data.
- Reverse engineer, decompile, or otherwise attempt to derive source code from the platform.
- Use the Services for benchmarking purposes or competitive analysis without prior written consent.

- Sub-license, resell, or otherwise transfer access to the Services to any third party.
Violations of acceptable use policies may result in immediate suspension or termination of your account without prior notice.
ACCOUNT SECURITY
You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify Tecnoprism at security@automationcoe.io of any unauthorized use of your account or any other breach of security. Tecnoprism will not be liable for any loss resulting from unauthorized access to your account.
NAMED USERS AND SEATS
Access is provisioned on a named-user or seat-based model as specified in your Order Form. Credentials may not be shared between individuals. Organizations requiring additional seats must request an upgrade through their account manager or the self-service portal. Tecnoprism reserves the right to audit seat utilization and invoice for any overages identified.
ADMINISTRATIVE ACCOUNTS
Account administrators bear responsibility for configuring role-based access controls, approving new user invitations, and revoking access for departed team members. Tecnoprism provides audit logs to assist with these obligations.
All rights, title, and interest in and to the Services, including the platform, its underlying technology, AI models, agent architectures, visual design, documentation, and all derivative works, remain the exclusive property of Tecnoprism and its licensors.
LIMITED LICENSE
Subject to these terms and the payment of applicable fees, Tecnoprism grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your internal business operations during the subscription term.
YOUR CONTENT
You retain ownership of all data, documents, and content you upload or generate through the platform (“Customer Content”). You grant Tecnoprism a limited license to process Customer Content solely for the purpose of delivering the Services. Tecnoprism does not use Customer Content to train AI models without explicit written consent.
Feedback, suggestions, or ideas you provide regarding the Services may be used by Tecnoprism without restriction or compensation.
Tecnoprism processes personal data in accordance with its Privacy Policy, which is incorporated into these terms by reference. Where you act as a data controller and Tecnoprism acts as a data processor, a Data Processing Agreement (DPA) governs such processing and is available upon request.
DATA SECURITY
Tecnoprism maintains a comprehensive information security program aligned with ISO 27001, SOC 2 Type II, and HIPAA requirements. Measures include encryption in transit and at rest, annual penetration testing, role-based access controls, and continuous vulnerability monitoring.
DATA RESIDENCY
Enterprise customers may elect a preferred data residency region (US, EU, or APAC) at contract inception. Data residency options are detailed in your Order Form. Cross-border data transfers, where applicable, are governed by Standard Contractual Clauses or equivalent approved mechanisms.
RETENTION AND DELETION
Customer Content is retained for the duration of your subscription term plus 30 days. Upon termination, you may request export of your data before deletion. Tecnoprism retains aggregated, de-identified usage data indefinitely for product improvement purposes.
To the maximum extent permitted by applicable law, Tecnoprism and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages including but not limited to loss of profits, revenue, data, goodwill, or business interruption, arising out of or related to your use of or inability to use the Services.
Tecnoprism’s total cumulative liability arising out of or related to these terms shall not exceed the fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.
DISCLAIMER OF WARRANTIES
The Services are provided “as is” and “as available.” Tecnoprism expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
EXCEPTIONS
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you in their entirety. In such cases, liability is limited to the fullest extent permitted by applicable law.
Either party may terminate the subscription at the end of the then-current term by providing written notice at least 30 days prior to renewal, unless a different notice period is specified in your Order Form. Enterprise agreements with annual or multi-year terms are subject to the termination provisions contained there in.
TERMINATION FOR CAUSE
Tecnoprism may suspend or terminate your access immediately and without notice if: (a) you breach any material provision of these terms and fail to cure such breach within 10 business days of written notice; (b) you become insolvent or file for bankruptcy; or (c) continued access poses a security risk to the platform or other customers.
EFFECT OD TERMINATION
- Your right to access and use the Services ceases immediately upon termination.
- You may export Customer Content within 30 days post-termination; thereafter it will be deleted.
- Outstanding fees through the termination date remain due and payable.
- Provisions that by their nature should survive termination shall continue in effect.
These terms are governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law principles. For customers located within the European Union, any mandatory consumer protection rules under local law shall also apply.
DISPUTE RESOLUTION
The parties agree to first attempt to resolve any dispute informally by contacting Tecnoprism’s legal team at legal@automationcoe.io. If a dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in Austin, Texas.
CLASS ACTION WAIVER
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. This waiver is an essential element of the agreement between the parties.
